**General terms and conditions for consumers (private customers)**.

1 General 
   The following general terms and conditions apply to all articles that are offered for shipment by AMPTech Engineering UG (haftungsbeschränkt) (hereinafter: AMPTech) in the online shop at www.amptech.store (hereinafter: online shop) for consumers, unless otherwise agreed. The version applicable at the respective time of the conclusion of the contract shall be decisive. They are aimed at customers who are consumers within the meaning of § 13 of the German Civil Code (BGB). A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed (§ 13 BGB). 

      Any conflicting terms and conditions of purchase of commercial customers shall require our acknowledgement in order to be valid.

1. conclusion of contract 
   1. orders in our online shop are only possible via the internet. 
   The presentation of the products in the online shop is aimed exclusively at consumers who have their usual place of residence (billing address) in Germany and can provide a delivery address in the same country. The presentation of the products in the online shop does not constitute a legally binding offer, but a non-binding online catalogue. By clicking the "Buy" button, the customer places a binding order for the goods contained in the shopping basket. Confirmation of receipt of the order follows immediately after the order has been sent by an automatically generated e-mail ("order confirmation"). The confirmation of receipt does not constitute a binding acceptance of the order. We are entitled to accept the contractual offer contained in the order within one week of receipt. Acceptance may be declared either in writing or by delivery of the goods to the customer."


      

      In the case of payment methods that involve immediate payment by you, our offer already exists in the placement of the products on amptech.store. You accept this offer to conclude a purchase contract by clicking the "Buy" button in the shopping cart view. 1. 
      If you have chosen to pay by credit card, the contract is concluded at the time the credit card is charged. 1.
      If you have chosen the payment method PayPal, the contract is concluded at the time of your confirmation of the payment instruction to PayPal. 1.
      If you have chosen the payment method SOFORT Überweisung, the contract is concluded at the time of the confirmation of the payment instruction to SOFORT GmbH.
   1. drawings, illustrations and photos in our online shop are not binding if this is expressly mentioned, e.g. by the designation "symbol photo".
   1. the conclusion of the contract is subject to the reservation that in case of incorrect or improper self-delivery by suppliers, we will not or only partially perform. In such a case, we undertake to inform you immediately of the non-availability of the goods and to refund any payments made without delay. 1.
   We reserve the right to make technical changes as well as changes in shape, colour and/or weight within the scope of what is reasonable.
1. price, payment 
   The final prices listed in our online shop on the day of the order, which include the statutory value-added tax and all other price components, shall be decisive. They are quoted in EURO and do not include the additional costs listed below. 1. 
   In addition to the stated prices, we charge the shipping costs shown on the product pages, in the shopping basket system and on the order page for delivery. 1. 
   1. the following payment methods are available, whereby AMPTech reserves the right to exclude certain payment methods in individual cases:
      1. credit card (Master-Card and VISA)
      1. instant bank transfer 
      1. PayPal

         Payment shall be made in full in advance to the account specified by AMPTech Engineering UG (haftungsbeschränkt) in the invoice.
   1. default 
      If you are in arrears with payment, we reserve the right to charge you reminder fees for necessary reminders. We are entitled to withdraw from the contract and demand the return of the goods in the event of behaviour contrary to the terms of the contract on the part of the customer, in particular in the event of default in payment.
   1. right of retention 
      You may only offset claims against us or assert a right of retention if your counterclaim is undisputed, a legally binding title exists or the counterclaim is in a synallagmatic relationship to the respective claim concerned.
1. delivery 
   1. the delivery of the ordered articles takes place exclusively to the delivery address in Germany indicated by the customer. Subsequent changes of the delivery address as well as deliveries to packing stations are not possible. The customer assures that he has given the correct and complete delivery address. Should there be additional costs for the shipment due to incorrect address data - such as additional shipping costs - the customer must reimburse these if he has culpably not provided the correct address.
   1. the availability of the goods results from the information in the online shop. Delivery times stated by us are calculated from the time of our confirmation of dispatch. If no delivery time or no deviating delivery time is specified for the respective goods in our online shop, the goods will be delivered within 14 working days in the case of immediate availability. In this context, the period for delivery begins in the case of payment by bank transfer on the day of receipt of payment to the AMPTech account specified in the invoice and in the case of all other payment methods on the day of confirmation of payment by the respective payment service. If the deadline falls on a Saturday, Sunday or public holiday at the place of delivery, the deadline shall end on the next working day.
      1. a delivery may consist of several parcels due to the size and weight of the individual items. During processing by the parcel service, these consignments may be separated from each other and delivered on different working days.
1 Liability for defects in the ordered items 
   1. we are liable for defects of the ordered articles in principle according to the legal regulations. Claims of the customer for damages or reimbursement of futile expenses can only be asserted if the prerequisites of the following clause 4 are met. Insofar as defects exist, the customer, who is a consumer within the meaning of § 13 BGB (German Civil Code), shall be entitled to the statutory warranty rights in accordance with the following provisions. 1.
   (1) Defects in the purchased goods must be precisely described by the customer. The notice of defect shall be made in text form in accordance with § 126 b of the German Civil Code (BGB), setting a reasonable deadline for the rectification of the defect. Notices of defects, other complaints and suggestions are to be addressed to AMP Engineering GmbH - Marschnerstraße 23, D-22081 Hamburg, at <support@amptech.store>. 
   1. claims of the customer due to material defects are subject to a limitation period of two years in accordance with § 438 Para. 1 No. 3 BGB. Pursuant to § 438 para. 2 BGB, the limitation period for claims for liability for defects shall commence with the complete delivery of the scope of delivery and performance or, if acceptance has been agreed, with acceptance.

      The above shortening of the limitation period as well as the following exclusion of liability shall not apply to damage caused by a grossly negligent or intentional breach of obligations on the part of the seller, his legal representative or his vicarious agent, and -
      1. in the event of injury to life, limb or health, or - 2. for claims based on fraudulent intent
      1. for claims based on fraudulent concealment of a defect or lack of a quality for which we have given a guarantee, or
      1. for claims under the Product Liability Act.

         In these cases, the statutory provisions shall apply.
   The statutory warranty period is 24 months from delivery of the ordered item. 1. 
   1. the statutory warranty claim shall not apply if defects occur for reasons caused by the customer, e.g. due to unsuitable or improper use, in particular also incorrect handling or incorrect installation by the customer or unsuitable accessories or unsuitable spare parts or unsuitable repair measures or due to natural wear and tear or due to external influences (such as e.g. stone chipping, accident, vandalism, fire or hail), provided that the contractor is not responsible for the defects. AMPTech is also not liable for damage caused by faulty installation on the vehicle.
1. guarantee conditions
   AMPTech grants a warranty of 2 years on the advertised product. The period for calculating the duration of the guarantee begins with the date of the invoice. The guarantee refers to the absence of defects in the advertised product, including functionality, material or production defects. Should a defect occur during the warranty period, the manufacturer shall provide one of the following services under this warranty at its discretion:
   1. repair of the goods free of charge or
   1. exchange of the goods for an equivalent item free of charge.

      Warranty claims are excluded in the event of damage to the goods due to:
      1. normal wear and tear
      1. improper handling
      1. non-observance of safety precautions 
      1. use of force (e.g. blows) 
      1. repair attempts carried out by the customer.

         A prerequisite for claiming under the guarantee is that the guarantor is enabled to examine the guarantee claim (e.g. by sending in the goods). Care must be taken to avoid damage to the goods in transit by packing them securely. A copy of the invoice of the consignment of goods must be enclosed with the application for warranty service so that the guarantor can check whether the warranty period has been observed. Without a copy of the invoice, the guarantor may refuse to provide the guarantee. 

                  This guarantee does not restrict your statutory rights against us arising from the purchase contract concluded with us. Any existing statutory warranty rights against us remain unaffected by this guarantee promise. The guarantee therefore does not infringe your statutory rights, but rather extends your legal position. 

         If the purchased item is defective, you can always contact us within the framework of the statutory warranty, irrespective of whether a warranty case exists or the warranty is invoked.
1. expiration of warranty

   The installation of the products sold by Amptech must be carried out professionally, preferably by a specialist workshop. The warranty will be void in case of disregard for damages or defects resulting from improper connection, improper handling or transport, repair or modification by unauthorised persons as well as non-observance of the instructions for use.
1 Liability for other breaches of duty 

   Our liability for breaches of duty which do not consist of a defect or have caused damage in excess of the defect shall be governed by the following provisions: 
   1. we shall only be liable for damages - irrespective of the legal grounds - in the event of intent and gross negligence. In addition, we shall also be liable in the case of simple negligence for damages arising from injury to life, limb or health as well as in the case of breach of a material contractual obligation (obligation whose fulfilment is a prerequisite for the proper performance of the contract and on whose observance the contractual partner regularly relies and may rely). In the latter case, however, our liability is limited to compensation for the foreseeable, typically occurring damage. 1. 
   Claims of the customer under the Product Liability Act and guarantees expressly assumed by us shall remain unaffected by the above provisions. 1. 
   (1) The statutory provisions shall apply in addition.
1 Right of withdrawal of the customer as consumer 
   Consumers have a statutory right of withdrawal when concluding a distance selling transaction, about which we instruct as follows in accordance with the statutory regulations: 
1. retention of title  
   In order to secure our purchase price claim against you, we reserve title to all delivery items until the purchase price has been paid in full. You are obliged to treat the goods subject to retention of title with care. The goods subject to retention of title may neither be pledged to third parties nor assigned as security before full payment of the secured claims. You must notify us immediately in writing if and to the extent that third parties seize goods belonging to us.
Alternative dispute resolution pursuant to Art. 14 (1) of the ODR Regulation and § 36 of the VSBG (German Consumer Disputes Act) 

   The European Commission provides a platform for online dispute resolution (OS), which you can find at http://ec.europa.eu/consumers/odr/. We are not obliged to participate in a dispute resolution procedure before a consumer arbitration board and are generally not prepared to do so. 

   We do not participate in a dispute resolution procedure before a consumer arbitration board. 1 Choice of law and place of jurisdiction 
   1. ` `The law of the Federal Republic of Germany shall apply to the exclusion of substantive uniform law, in particular the UN Convention on Contracts for the International Sale of Goods. The statutory provisions on the applicability of mandatory consumer protection law remain unaffected. 
   (1) The statutory provisions shall apply to the place of jurisdiction.
1. miscellaneous 
   If the purchaser claims the installation service offered by AMPTech, an additional warranty can only be purchased in this context. The latter cannot be purchased or extended separately. This warranty covers the replacement by AMPTech of all faulty or incompletely functioning components installed by AMPTech for the entire period specified in the warranty extension. 

   We do not warrant that the installation and use of goods and services provided by us will not affect Tesla's original warranty terms and refer you to Tesla itself for the nature and extent of any modifications.
1. severability clause

   If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, the validity of the remaining provisions shall not be affected thereby. In place of the invalid provision, the statutory provisions shall apply.
